Refernce to PowerFleet’s registration statement on Form S-4

On May 24, 2019, PowerFleet, Inc. (“PowerFleet”) filed with the Securities and Exchange Commission (the “SEC”) a registration statement on Form S-4, of which the preliminary joint proxy statement for, among other things, an Extraordinary General Meeting of Shareholders of Pointer Telocation Ltd. (“Pointer”, the “Meeting”), which relates to the proposed business combination between PowerFleet, Pointer, I.D. Systems, Inc. (“I.D. Systems”), Powerfleet Israel Holding Company Ltd. (“Holdco”), and Powerfleet Israel Acquisition Company Ltd. (“Merger Sub”), forms a part thereof. A record date for the Meeting has not been set and the joint proxy statement is still in draft form and subject to review by the Securities and Exchange Commission.

The information in the preliminary joint proxy statement/prospectus is not complete and remains subject to change. PowerFleet may not sell the common stock referenced in the joint proxy statement/prospectus until the Registration Statement on Form S-4 becomes effective. The proxy statement/prospectus will be provided to the Pointer shareholders after it is in final form. PowerFleet, I.D. Systems and Pointer also plan to file other documents with the SEC regarding the proposed transaction.
